We also have the right to take any action with respect to any User Content that we deem necessary or appropriate in our sole discretion, including if we believe that such User Content violates these Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Site or the public, or could create liability for Hop Education Abroad.

To the fullest extent permitted by applicable law, Hop Education Abroad, its affiliates, and their respective officers, directors, employees, agents, licensors, or service providers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use or inability to use the Site, any content on the Site, or any services or items obtained through the Site, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Hop Education Abroad has been advised of the possibility of such damages.

These Terms and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the laws of the state of Indiana, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal or state courts located in Indiana. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

 

12. Miscellaneous

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

  

Waiver: No waiver by Hop Education Abroad of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Hop Education Abroad to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

  

Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and Hop Education Abroad regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
